daXos Energy Sales Terms.
These terms govern your daXos Energy trial and subscription. You accept them when you tick the box on the trial page, and they form the agreement between us. Written to be read — if a clause is unclear, write to us before you accept it.

1 · Who this is between
These terms are between daXos LLC, a North Carolina limited liability company (“daXos”, “we”, “us”), and the business named on the order (“you”). They apply to daXos Energy orders placed on this site by businesses in the United States.
daXos sells to businesses, not to consumers. daXos Energy is for fleets of ten vehicles or more. By accepting these terms you confirm you are ordering for a business and are authorised to bind it.
This is the whole agreement for daXos Energy orders placed by card on this site. It replaces any earlier proposal or quotation, except where you and daXos have signed a separate written agreement, which prevails to the extent the two differ. Orders placed on daxosdigit.com, daXos Move or daXos Fresh are governed by the terms published on those sites, not by these terms.
The daXos Data Processing Agreement forms part of these terms and is incorporated by reference. Location data tied to a vehicle or a driver is personal data in most regimes, so a subscription cannot sensibly exist without it. The tick that accepts these terms accepts the DPA with them, and daXos records which version you accepted, and when, against your subscription. Where the DPA and these terms differ about the processing of personal data, the DPA governs.
2 · What you are buying
You are buying a service, on subscription. You are not buying equipment.
Each vehicle on the subscription gets one daXos Hub and two temperature sensors, and the service includes, at one price per vehicle:
- Fleet management — where each vehicle is, its trips, stops and depot time, how it is driven, and temperature alerts.
- Energy management — the energy each trip and each vehicle uses and what it costs at the tariff you give us; for diesel and gasoline vehicles, which routes could go electric.
- Energy forecast — an estimate of each vehicle's energy need for its planned routes, 48 to 72 hours ahead, with a charge target.
- The standard dashboard, API and MCP access, and telecom connectivity.
The price depends on the vehicle's class, set by its gross vehicle weight rating: class 1–4 (cars, vans, step vans, up to 16,000 lb), class 5–7 (box and medium trucks, 16,001–33,000 lb) and class 8 (heavy trucks, over 33,000 lb).
Charger control, depot battery control, depot studies and tailored dashboards are not part of this subscription. They are quoted and agreed separately.
3 · The devices stay ours
daXos owns every Hub and sensor at all times. They are placed with you so that we can deliver the service. Title never passes to you, however long the subscription runs.
While the devices are with you, you agree to:
- keep them installed on the vehicle they were assigned to, and tell us before that vehicle is sold, leased out, scrapped or leaves your fleet;
- not open, modify, repair, reverse-engineer or relabel them;
- not sell, lend, sublease, pledge or otherwise encumber them;
- take reasonable care of them, as you would your own equipment.
Replacement and refresh. A device that fails in normal use is replaced at no charge. The installed base is refreshed at year four at no charge. When a vehicle is replaced by another in your fleet — a diesel van by an electric one, for example — we move its devices to the new vehicle; the price follows the new vehicle's class.
When the subscription ends, the devices come back to us. We arrange and pay for collection, and you have thirty days to make them available. Devices not returned within that window, or returned damaged beyond normal wear, are invoiced at their replacement value: Hub $100 each, sensor $50 each.
4 · What daXos Energy is — and is not
daXos Energy is a data, estimation and advice service. Its forecasts are estimates, not guarantees. It does not control your vehicles, your chargers or your depot battery, and it is not a safety system.
A forecast is our best estimate of the energy a vehicle will need, made from the information available at the time. Real consumption depends on things that change after the forecast is made — the route actually driven, traffic, weather, load, driver, and the condition of the vehicle and its battery. We do not promise that a vehicle will complete a route, reach a destination or leave with enough charge, and we do not promise any saving on your energy bill. Figures published on this site describe results measured or modelled elsewhere; they are not a promise of results for your fleet.
Charging plans and charge targets are recommendations. Deciding how and when to charge, which vehicles to buy, how large a grid connection or battery to install and which tariff to choose remains yours, and so do the instructions you give to any charger, battery or software.
Consequently, daXos is not liable for a vehicle that runs out of charge or fuel, a missed or late departure or delivery, energy, demand or tariff charges, penalties from your utility or grid operator, or a purchase or investment made on the strength of a forecast, a plan or a report — whether or not an alert or a forecast was sent, delayed, missed or wrong.
You are responsible for telling your drivers and staff that your vehicles are tracked, and for any notice or consent the law requires of you as the employer or operator.
5 · Your data is yours
The measurements captured from your vehicles belong to you. daXos claims no ownership of them.
You reach your data through the dashboard, the API and MCP. We do not charge for access and we do not sell access to your data to anyone else.
We hold your data to run the service, and not indefinitely: raw measurements are deleted or de-identified three months after they are captured, on a rolling basis. Forecasts, reports and summaries built inside the service outlive the readings behind them.
When the subscription ends you have thirty days to export what is still held, and we then delete or return it at your choice, in any event within ninety days — apart from records the law requires us to keep, and routine backups, which are overwritten on their ordinary cycle. The daXos privacy policy sets this out in full.
We use the data to operate, support and improve the service. We keep de-identified, aggregated data that cannot reasonably be linked back to you, your people or your vehicles, and we do not try to re-identify it. We will not use your data to train AI models you do not use without a separate signed addendum you are free to refuse.
6 · The 4-week trial
The trial runs on five vehicles of your fleet, chosen by class on the trial page. We install one Hub and two temperature sensors on each, at no charge.
At checkout Stripe saves your card and nothing is charged. The trial lasts 28 days from checkout. When it ends, the subscription converts to the five vehicles at their class price, billed monthly in advance, unless you have cancelled. The amount is shown on the payment page before you confirm.
To cancel during the trial, write to info@daxosdigit.com before it ends. Nothing is charged and we collect the devices under section 3.
7 · Prices and tax
Prices are those shown on this site when you order, in US dollars: $25 per vehicle per month for class 1–4, $30 for class 5–7 and $40 for class 8. They exclude sales tax and any other applicable tax, which is added at checkout or on the invoice.
If a vehicle is placed in the wrong class, we bill the correct class from the next billing month and tell you first.
We may change list prices with sixty days’ notice by email.
8 · Billing
The subscription is billed monthly in advance by card, through Stripe. daXos does not see or store your card number.
You can add vehicles at any time by writing to us; the change is billed from the next month. Removing vehicles takes effect at the next billing month, and the month in progress is not refunded.
If a payment fails we will retry and write to you. If it is still unpaid fourteen days after the due date we may suspend the service until it is settled.
9 · Term and cancellation
After the trial, the subscription runs month to month.
To cancel, write to info@daxosdigit.com. Cancellation takes effect at the end of the billing month in progress, which is not refunded. Section 3 then applies to the devices.
daXos may end the subscription on thirty days’ notice, or immediately if you breach these terms and do not fix it within fourteen days of being asked. If we end it for our own convenience, we refund the unused part of the month.
10 · What daXos does and does not promise
We work to keep the platform available and the devices reporting, and we replace what fails. We do not promise uninterrupted service: vehicles move and park in places with no coverage, and networks are outside our control.
Except as stated in these terms, the service is provided as is, and we disclaim all other warranties — including fitness for a particular purpose — to the extent the law allows.
11 · Liability
Neither of us is liable to the other for indirect or consequential loss, loss of profit, loss of business, or loss of data beyond what section 5 requires of us. Section 4 sets out what daXos is not liable for in relation to forecasts, charging and energy costs.
daXos’s total liability under these terms is capped at the fees you paid in the twelve months before the claim arose.
Nothing here limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.
12 · Confidentiality
Each of us will keep the other’s non-public information confidential and use it only to perform this agreement. Your data, your routes and your tariffs are your confidential information. This obligation lasts three years after the subscription ends.
13 · Changes to these terms
We may change these terms with thirty days’ notice by email to the address on your account. Continuing to use the service after that means you accept the change. Changes do not apply retroactively.
Every version is dated and kept at its own permanent address. The version you accepted governs your order until you accept a newer one.
14 · Governing law
These terms are governed by the laws of the State of North Carolina, and the state and federal courts located in Guilford County, North Carolina have exclusive jurisdiction.
